1. Acceptance of Terms

By accessing and using Grey Matter Labs' website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use this service.

2. Services Description

Grey Matter Labs provides MVP development services, Dev as a Service subscriptions, and related consulting services. We deliver production-ready software applications using modern technologies and agile methodologies.

3. Project Scope and Payment

Project scope, timelines, and pricing will be agreed upon before work begins. We require a deposit before commencing work, with the balance due upon project completion or according to the agreed payment schedule. All prices are in USD unless otherwise specified.

4. Intellectual Property

Upon full payment, you will own all intellectual property rights to the deliverables created specifically for you. We retain rights to pre-existing tools, frameworks, and methodologies, and general knowledge gained during the engagement.

5. Revisions and Changes

The agreed project scope includes a reasonable number of revisions. Additional revisions or scope changes will be billed at our standard hourly rate. We will communicate any potential scope changes before implementing them.

6. Confidentiality

Both parties agree to keep confidential all proprietary information disclosed during the engagement. This obligation survives the termination of our agreement. We do not share your project details or client information with third parties.

7. Warranty and Support

We warrant that our work will be free from defects in materials and workmanship for 30 days following delivery. We provide bug fixes and critical issue support during this period. Ongoing support may be purchased separately through our Dev as a Service offering.

8. Limitation of Liability

Our total liability shall not exceed the amount you paid for the specific service that gave rise to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages of any kind.

9. Termination

Either party may terminate this agreement with 14 days written notice. Upon termination, you will pay for all work completed up to the termination date. We will deliver all completed work product at that time.
